1. Who you are contracting with

CoachingOrient (the "Service") is provided by Proteksel Consulting Ltd.("we", "us", "our"), trading as CoachingOrient. By creating an account or using the Service you ("you", "Coach") agree to these Terms & Conditions. If you are using the Service on behalf of an organisation, you confirm you have authority to bind it.

2. The Service

CoachingOrient is an AI-assisted thinking partner designed for professional coaches. It provides instant, grounded guidance for client scenarios. The Service is for use by qualified coaches in the conduct of their own coaching practice and is not therapy, medical, legal, financial or psychological advice.

3. Acceptable use

You must not, and must not permit any third party to:

  • Use the Service for any unlawful, fraudulent, harmful or deceptive purpose;
  • Send spam, malware, or any content that infringes intellectual property or privacy rights;
  • Probe, scan, scrape, reverse engineer or otherwise attempt to interfere with the security or integrity of the Service;
  • Use the Service to provide therapy, medical diagnosis, or any service outside the legitimate scope of professional coaching;
  • Resell, sublicense or redistribute the Service or its outputs as a substitute product.

4. AI outputs and your responsibility

CoachingOrient generates suggestions using AI models. Outputs may be inaccurate, incomplete or unsuitable for a given situation. You remain solely responsible for:

  • The prompts and client information you enter;
  • Your professional judgement and the way you apply any guidance with a client;
  • Ensuring you have the right to enter any client information you submit;
  • Compliance with your own professional code of ethics and safeguarding protocols.

We may filter, refuse or restrict outputs (for example where a request falls outside the coaching remit, raises safeguarding concerns, or breaches these Terms).

5. Your account

You must provide accurate information, keep your credentials confidential and are responsible for all activity under your account. Notify us immediately of any unauthorised use.

6. Intellectual property

We retain all rights, title and interest in the Service, including the software, documentation, models, prompts, branding and design. You are granted a limited, non-exclusive, non-transferable right to use the Service within your active subscription plan. You retain ownership of the content you submit.

7. Payment, subscription and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes and currency conversion are governed by Paddle's Checkout Buyer Terms.

Subscriptions start with a 3-day free trial. You may cancel during the trial at no cost. After the trial, the annual fee shown at checkout is billed and renews annually unless cancelled. Refund requests are handled under our Refund Policy.

Service pricing for new customers may change without notice. Your subscription price remains fixed for your then-current service period.

8. Service availability

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination your right to use the Service ends; you may request export of your data within 30 days, after which it may be deleted.

10. Liability

Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law. Subject to that, our aggregate liability arising out of or in connection with the Service is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential or special damages including loss of profits, data or goodwill.

You agree to indemnify us against third-party claims arising from your content, your use of the Service in breach of these Terms, or your unlawful conduct.

11. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-product. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except where mandatory consumer law gives you the right to bring proceedings in your country of residence.
